In the transaction, GoTo’s valuation is about $115.2 million, and NeraTech’s valuation is $42.8 million, reflecting a deal value of some $158 million

NeraTech Media to acquire GoTo Global Mobility in a mega-deal GoTo is Israel’s largest shared transport company and a world leader in the concept of transport as a service The acquisition will be made by way of a stock exchange, in which the parties agreed on a value of $120 million (ILS 380 million) for GoTo Global Mobility, and $42.9 million (ILS 137 million) for NeraTech The acquisition will be made according to an expected ratio of about 74% for GoTo’s shareholders and about 26% for the shareholders of NeraTech Media. Post-closing, the company will have about $30 million in cash as of the transaction closing date, including some $12 million from NeraTech’s cash reserves GoTo’s investors include DBSI’s Shagrir Group, Adam Neumann and the Ungar family

NeraTech Media reports its engagement in an agreement for receipt of another approx. ILS 11 million (approx. $6.3 million) for future consideration contingent on achievement of results from the sale of the app distribution business. Since March 2020, the company has been working to carry out transactions for a merger in the near future, with target companies having significant growth potential.
